SEOUL, KOREA – Halla Climate Control will take over the air handling system unit of Visteon Corp., a global automotive parts supplier. In a board of directors meeting on January 10, the directors approved a proposal to acquire Visteon's unit at 430 billion won.
Once the deal goes through as planned, Halla will become the world's second largest air control company.
The latest merger, many industry watchers said, was a move to raise the price of Halla Climate Control before selling it to Halla Group to be expected within this year. The company expects its size will get 30 percent bigger and its value rises proportionally after the union.
But investment bankers believe the takeover of Halla Climate Control by Halla Group highly unlikely. An investment banker said, "After Halla Climate Control bought Visteon's air control unit, its price tag has bloated to several trillion won, which will certainly make Halla Group reluctant to plunge into acquisition."

한라공조, 비스티온 공조부문 인수
한라공조가 글로벌 자동차 부품회사 비스티온의 공조사업본부를 인수한다. 한라공조는 10일 진행된 제400차 이사회에서 비스티온의 자동차 공조사업부 인수에 동의했다고 공시했다.
이번 이사회 결정은 지난해 9월부터 논의돼온 비스티온 공조사업부 인수를 승인한 것으로 앞으로 매도자인 비스티온 이사회가 동의하면 확정된다. 한라공조는 이번 인수·합병을 통해 비스티온의 공조사업부 18개사의 지분을 인수하게 되며, 인수금액은 4300억여원이다. 인수 절차는 올해 1분기 내에 완료될 예정이다. 한라공조는 비스티온 공조사업부 인수를 기점으로 세계 2위 규모의 글로벌 공조기업으로 올라설 전망이다.
한라공조와 비스티온 공조부문의 통합은 한라공조를 한라그룹에 매각하기 전에 몸값을 높이기 위한 포석으로 업계는 보고 있다. 회사 측은 이번 인수·합병을 통해 회사 규모가 현재보다 30% 이상 확대되고 기업 가치도 상승할 것으로 기대하고 있다. 당초 비스티온은 한라공조의 국내 주식시장 거래 지분 30.1%를 공개매수 형태로 거둬들여 글로벌 사업부 통합을 진행할 예정이었으나 이 프로젝트가 한라공조 7.82%를 보유한 국민연금의 반대로 무산되자 순서를 바꾼 ‘플랜B’를 세운 것이다.
이로 인해 한라그룹의 한라공조 인수는 한층 힘들어질 것으로 보고 있다. 투자은행(IB) 업계 관계자는 “비스티온이 공조사업 부문을 한라공조에 매각하면서 인수 금액은 전보다 더 커진 수조원대일 것”이라고 말했다.
