SEOUL, KOREA - Qualcomm, the U.S. global mobile semiconductor chip maker, will become the largest stakeholder in Pantech,
Korea's No. 2 mobile handset manufacturer. With the new injection of fund estimated at US$23 million from the new shareholder, Pantech could cement its position as a second largest handset maker ahead of LG Electronics.
On January 21, investment banking sources said Qualcomm would acquire a 2.03-percent stake (52 million newly issued shares) at $23 million.
Once the transaction is completed, Qualcomm's stake will rise to 13.49 percent from current 11.46 percent. Meanwhile, the stake held by the largest stakeholder Korea Development Bank would be reduced to 13.39 percent. Even though it become the largest shareholder, Qualcomm would not wield its power to demand board of directors seats or intervene in day-to-day management.
The reason behind the equity participation in Pantech by Qualcomm has to do with the fact that Pantech has been an important customer for the latter's mobile chips. By reviving an ailing customer, Qualcomm figured, it would sell more chips in a more stable manner. The San Diego-based company had originally planned to invest $20 million, but later raised the amount to $23 million.

[마켓인사이트] 퀄컴, 260억원 투자…팬택 최대주주 됐다
세계적 모바일 반도체 업체인 미국 퀄컴이 국내 2위 휴대폰 제조업체 팬택의 최대주주가 된다. 국내 휴대폰업계 2위 자리를 놓고 LG전자와 치열한 다툼을 벌이고 있는 팬택은 2300만달러(약 260억원)의 신규 자금을 확보해 글로벌 시장에서 도약할 발판을 마련하게 됐다.
21일 투자은행(IB)업계에 따르면 퀄컴은 2300만달러를 투자해 팬택의 신주 5200만주(2.03%)를 인수하기로 했다.
투자를 완료하면 퀄컴의 보유 지분은 11.46%에서 13.49%로 늘어나 산업은행(13.39%)을 제치고 최대주주가 된다. 하지만 46.98%를 갖고 있는 산업은행 등 채권단협의회가 계속해서 최대주주 역할을 할 것으로 보인다. 퀄컴도 경영에는 참여하지 않을 것으로 알려졌다.
퀄컴이 팬택에 자금을 직접 투자하는 것은 처음이다. 현재 갖고 있는 지분 11.46%는 팬택의 워크아웃(기업개선작업) 과정에서 퀄컴이 받기로 한 7500만달러의 로열티를 출자전환한 것이다. 퀄컴이 글로벌 휴대폰 제조업체의 최대주주가 되는 것도 이번이 처음이다.
인텔과 삼성전자에 이어 세계 3위 반도체 업체에 오른 퀄컴이 팬택에 투자하기로 한 것은 ‘고객사 살리기’ 차원으로 업계에서는 해석하고 있다. 유동성을 확보해야 하는 팬택에 자금을 지원함으로써 주요 고객을 회생시키겠다는 전략이다. 퀄컴은 당초 2000만달러를 투자할 계획이었으나 협상 과정에서 금액을 상향 조정했다.
